Which UAE insolvency regime applies?

Three parallel regimes: federal (FDL 51/2023, mainland), DIFC (Law 1/2019, English-aligned), ADGM (Regulations 2022, English-derived). Fixed by entity's incorporation jurisdiction.

What is preventive composition?

Debtor-in-possession process under FDL 51/2023 Articles 6-22. Court-supervised, automatic moratorium up to 6 months, expert/trustee appointment, debtor stays in control, creditor-voted plan, court sanction binds dissenters. Similar to U.S. Chapter 11 / English admin+CVA.

What is financial restructuring under FDL 51/2023?

Articles 23-46 — formal court-supervised committee for licensed FIs and large entities. Cross-class cram-down, debt-for-equity conversion. Stronger powers than standard composition trustee. Use has increased post-2024.

What about director personal liability?

FDL 51/2023 recalibrated towards civil rather than criminal. Liability for: wrongful trading past the safe-harbour (~60 days from awareness), preferences, undervalue transactions, books-and-records failures. Criminal cheque-bounce reformed but not eliminated. D&O insurance + documented board decisions essential during stress.

How does cross-border recognition work?

UAE not on UNCITRAL Model Law (mainland). DIFC has Model Law-aligned provisions. Routes: DIFC conduit, ADGM Court, onshore via Riyadh Convention/reciprocity, parallel proceedings. DIFC route is practical default for English/U.S./Singapore origins.

What role do secured creditors play?

Stronger rights under FDL 51/2023. DLD mortgage foreclosure may continue with court permission; financial pledge over financial collateral retains enforcement; ship/aircraft finance specialised priority. Multi-regime navigation required.

What does liquidation look like?

Court-determined insolvency → trustee appointment → asset realisation → claim verification → statutory waterfall (secured > preferential employees/tax > unsecured pro rata > shareholders) → deregistration. 18-36 months for substantial cases.
